These Terms and Conditions apply to all users of this web site. By using the site you are agreeing to comply with and be bound by these Terms of Use, and if you do not agree with them you may not access or use the site.

By agreeing to these Terms of Use, you agree to the terms of our Privacy Policy, which is included on the site. Please review it carefully. Proteusleader.com is owned and operated by Proteus International, Inc. (“Proteus”). Access to some of the content on the site is offered free of charge (“Free Content”), while other content is only available to paid subscribers (“Premium Content”).

Users of the web site are free to download and make copies of any Free Content for personal, noncommercial use. This can be found in the “Read About It” materials. The Premium Content is generally found in the “See It Hear It” and “Try It” areas of the web site. Any written materials in the “Try It” section may also be downloaded and copies made; however, all other Premium Content, including all videos and audio content is protected and not to be downloaded or copied by the user.

Subscription Terms

If you subscribe to the site, your initial subscription term shall begin on the effective date of your subscription and expire at the end of the period selected during the subscription process. The term of this subscription will be automatically extended for a successive period on the same terms and conditions as in effect immediately prior to the then-current expiration date, unless either party gives the other notice of non-extension. Such notice may be given at any time.  No refund will be given for remaining subscription time on subscriptions cancelled prior to the expiration date.

Proteus uses Stripe to execute online payment transactions. You must sign up for an account with Stripe and agree to abide by Stripe’s Terms of Service located at hppts://stripe.com/terms. Please review those terms carefully and make sure you understand and accept them. Proteus is not responsible for the actions or omissions of Stripe and cannot and will not be liable for loss or damage from errant or invalid transactions processed via Stripe. If you process a transaction it is your responsibility to verify it was successfully processed by Stripe. Complaints, concerns, or questions regarding payment processing should be directed to Stripe.

Intellectual Property

The web site is expressly owned and operated by Proteus. Unless otherwise noted, the design features and content of the web site are owned by Proteus or are licensed from third parties by Proteus. The web site is protected by copyright, trademark, service mark, trade name and other intellectual property rights, and all such rights are reserved. You are expected to protect these rights, other than as described in General Terms of Use.

Disclaimer of Warranties

This website and its content are provided “as is” and Proteus International, Inc. disclaims to the fullest extent permitted by applicable law all warranties, expressed or implied, including, without limitation, warranties of merchantability, satisfactory quality, title, non-infringement and fitness for a particular purpose. Proteus or its directors, employees, licensors, content providers, affiliates’ or other representatives will not be liable for damages of any kind arising out of your use or the performance or this website, including but not limited to lost profits, direct, indirect, compensatory, consequential, exemplary, special, incidental, or punitive damages. If any part of this limitation on liability is found to be invalid or unenforceable for any reason, then the aggregate liability for the released parties for liabilities that otherwise would have been limited shall not exceed ten dollars ($10.00).

Indemnification

You agree to defend, indemnify, and hold harmless Proteus, directors, employees, licensors, content providers, affiliates’ or other representatives from and against any third party claims, actions or demands, arising or resulting from the use of the web site or your breach of the terms of this Agreement.

Governing Law and Venue

This Agreement is entered into and governed by the laws of the State of Minnesota. You hereby consent to the exclusive jurisdiction and venue of the courts in Minnesota in all disputes arising out of or related to the use of this web site.
